- Set up and support to entities being setup as Asset Managers to Private Equity and Venture Capital Funds this would include accounting, statutory compliances (such as PPF, TDS, Service Tax etc), payroll management amongst others.
- Fund Support which would involve multiple areas such as fund accounting, liaison with trustees and administrators, handling of tax matters, facilitating during fund audit, working on NAV / MTM reports amongst others.
Transaction Management and Corporate Services
- Financial, Secretarial and Legal due diligence on early stage companies and support through investment transactions
- Setting up of internal controls and processes for early stage companies
- Carrying out valuations for the purpose of Company Law, FEMA as well as Income Tax
- Financial planning, analysis and reporting which includes, budgeting, variance analysis, investor reporting etc
- Projects such as acquisitions, cross border setup and management and fund raise support
- Accounting, audit, and statutory taxation support for portfolio companies

Corporate Laws Compliances and Transaction Advisory Services (Private Limited Companies)
- Incorporation of Private Companies (including OPC) and Limited Liability Partnerships (LLP)
- Retainers for annual compliances as required under Company Law which includes all annual Company Law compliances
- Secretarial Due Diligence for early stage investments / venture capital investments
- Issue and allotment of securities by way of a rights issue and / or private placement
- Redemption and conversion of preference shares / debentures.
- Alteration of articles of association for incorporation of important terms and conditions of a shareholder’s agreement that Companys would execute on receipt of investment
- Drafting and implementation of Employee Stock Option Scheme and its related compliances
- Trademark applications
- Striking off Companies
- Exit of investments
- Foreign Exchange Management Act (FEMA) Compliances
We are looking for trainees and qualified lawyers wanting to work in the following areas:
- Drafting and negotiation of term sheets for investment transactions
- Drafting and negotiation of investment documents such as share purchase agreements, share subscription agreements and shareholder agreements
- Investment compliances and investment closing activities and various other nuances on structuring of investments rounds in early stage businesses
